WILMINGTON, DE, UNITED STATES, August 10, 2026 /EINPresswire.com/ -- Wilmington, Delaware, August 5th, 2026 -- Blubird has announced the launch of the second generation of its digital asset registry and marketplace. The rebuilt platform binds each token to its full legal identity, including governing contracts, ownership rights, transfer restrictions, and chain of title, from issuance through every subsequent transaction.

The tokenization industry has made minting and transferring tokens fast and simple, but the legal rights behind those tokens typically remain elsewhere: in subscription agreements, data rooms, cap tables, custodial records, and transfer-agent systems. On most platforms operating today, an off-chain register remains the authoritative record of ownership and the token functions as a receipt. When the blockchain and the register disagree, the register wins.

Blubird's second-generation registry removes that structural weakness. The platform issues each asset together with the complete contract stack that defines it, covering the legal wrapper, evidence of title, subscription agreements, holder rights, transfer restrictions, and disclosures. The token and the legal asset come into existence as one coordinated event and move together for the life of the instrument.

The second-generation registry includes the following capabilities:

Ricardian contract conversion. Issuers' legal teams supply their prepared agreements, and the registry converts the approved pack into structured, versioned Ricardian contracts that people can read, machines can verify, and cryptography can bind to the specific asset being issued. Lawyers remain responsible for legal substance, and the registry makes that substance operational.

Provable signing ceremonies. Before minting can complete, required parties execute documents in a controlled signing ceremony. Each signature is a structured, typed attestation under the EIP-712 standard, authorized with fresh multi-factor authentication. Executed documents are pinned to IPFS and anchored on-chain, producing tamper-evident proof of what was signed, by whom, and when. That proof does not depend on Blubird's existence to verify.

Legally complete secondary transfers. When a holding is resold, the registry identifies the contract set currently governing it, determines the documents the sale requires, and brings the buyer, seller, issuer, and any other counterparties into a new signing ceremony. Ownership records, chain of title, rights, and contract versions update in the same controlled process before settlement completes, so the blockchain state and the legal state change together.

Integrated marketplace. Offerings are presented, qualified, signed, and settled in a marketplace operating under the issuer's own identity on Blubird. Distribution and record-keeping stay in one system rather than in separate venues with separate records.

On-chain enforcement across any chain. Transfer restrictions are compiled into the instrument itself and enforced on-chain. On EVM networks the platform supports compliance standards including ERC-3643 and ERC-7943 (uRWA). On Stellar it supports SEP-41. The compliance model belongs to the asset and travels with it.

Multi-asset architecture. Each instrument, whether a fund interest, debt instrument, or commodity title, carries its own legal wrapper, contract stack, ownership model, approval policy, and transfer process on a common operating system that preserves the legal differences between asset classes.

The registry maintains one connected record that can answer the questions institutions and public bodies ask of tokenized instruments: what the asset legally represents, which contracts currently govern it, who holds rights in it and how they were acquired, which restrictions remain active, and which legal event caused each change of ownership. That record runs from formation through every sale, transfer, redemption, or retirement.
